Responsibilities
- Assist attorneys with legal research, document review, and due diligence for M&A transactions
- Draft and proofread legal documents including contracts, agreements, resolutions, and closing documents
- Organize and maintain case files, discovery materials, and transaction data rooms
- Coordinate and track deal signatures, filings, and regulatory submissions
- Communicate with clients, courts, and counterparties to coordinate logistics and obtain information
- Support corporate entity management including formation, maintenance, and good-standing filings
Requirements
- Bachelor's degree with strong academic record (Paralegal Certificate is a plus)
- ABA-approved paralegal certification or intent to pursue is preferred
- Excellent research skills and comfort working with legal databases (Westlaw, LexisNexis)
- Outstanding attention to detail and organizational skills — precision is non-negotiable in legal work
- Professional written and verbal communication skills; ability to work under tight deadlines
